The scope is agreed for your matter. It depends on the documents, the issues and what you ask us to do.
How the work usually progresses
Agree the review
We define the questions, companies and records to be considered.
Examine the documents
We compare the company records with the ownership and management arrangements described.
Prioritise the actions
We report gaps and agree any follow-on drafting or remedial work.
What to prepare
- Articles and shareholder agreement
- Share register, cap table and recent filings
- Board minutes and relevant resolutions
- Details of planned investment or ownership changes
Fees and the first consultation
The initial consultation is £325 + VAT. Further work is separately scoped and priced. We will explain the charging basis and any expected third-party costs before you instruct us.
Questions about corporate governance review
Is this a full legal due diligence exercise?
The scope is agreed at the outset. A focused governance review is different from full transaction due diligence, which may cover wider contracts, property and liabilities.
Can you help implement the recommendations?
We can agree separate drafting, approval or filing work after the review. The scope and costs will be set out before that work begins.
