Questions about share purchase agreements

How is a share purchase different from buying business assets?

A share purchase changes ownership of the company. An asset purchase transfers the assets and obligations specified in the agreement. The structure affects due diligence and the documents required.

Does due diligence remove all transaction risk?

No. It helps identify issues so that the parties can assess them, negotiate terms and decide whether to proceed. Some risks may remain.
