Who we help
For shareholders and directors dealing with deadlock, exclusion from management or a breakdown in the ownership relationship.
What the service can include
- Review of articles, shareholder agreements and shareholdings
- Disputes about management, information and company decisions
- Negotiated exits, buyout discussions and settlement terms
- Assessment of available claims and formal dispute routes
The scope is agreed for your matter. It depends on the documents, the issues and what you ask us to do.
How the work usually progresses
Clarify the relationship
We identify who owns what, how decisions are made and what has happened.
Assess options and leverage
We consider documents, evidence, commercial objectives and the effect on the company.
Pursue the agreed route
We negotiate or take the agreed formal steps, with costs and risk kept under review.
What to prepare
- Articles and shareholder agreement
- Share register and relevant board records
- Emails or documents showing the disputed events
- Your priorities for control, continuation or an exit
Fees and the first consultation
The initial consultation is £325 + VAT. Further work is separately scoped and priced. We will explain the charging basis and any expected third-party costs before you instruct us.
Questions about shareholder disputes
What if there is no shareholder agreement?
The articles and applicable company law still matter. We review the available records and the circumstances rather than assuming there is no remedy.
Can one solicitor act for all shareholders?
Interests may conflict. We will consider who the client is and whether we can act before accepting instructions.
